End User License Agreement (EULA) for California
Introduction:
This End User License Agreement (“Agreement”) is a legal contract between the user (“End User”) and the software provider (“Licensor”) for the software product licensed for use in California. By installing or using the software, the End User agrees to be bound by the terms of this Agreement.
License Grant:
The Licensor grants the End User a non-exclusive, non-transferable license to use the software solely for personal or internal business purposes, in accordance with the terms of this Agreement.
Restrictions:
The End User shall not distribute, decompile, reverse engineer, or create derivative works based on the software, except as permitted by applicable law.
Ownership:
The software and all intellectual property rights remain the sole property of the Licensor.
Termination:
This Agreement is effective until terminated. The End User’s rights will terminate automatically if they fail to comply with any terms, or upon notice from the Licensor. Upon termination, the End User shall cease all use of the software.
Limitation of Liability:
In no event shall the Licensor be liable for any damages arising from the use or inability to use the software, even if advised of the possibility of such damages.
Governing Law:
This Agreement shall be governed by and construed according to the laws of the State of California.
Additional Provisions:
- The End User agrees to comply with all applicable laws and regulations in California while using the software.
- This Agreement may only be amended by a written document signed by both parties.
- If any provision is found invalid or unenforceable, the remaining provisions shall remain in effect.
