Purpose of Disclosure:

The parties wish to share certain confidential information to evaluate potential business relationships, and agree to maintain confidentiality pursuant to this agreement.

Definition of Confidential Information:

Confidential Information includes all written, electronic, or oral data shared between the parties related to their business, products, or operations, designated as confidential or that reasonably should be understood as confidential.

Obligations of Receiving Party:

The receiving party shall keep all Confidential Information strictly confidential, not disclose it to third parties without prior written consent, and use it solely for the purpose specified above.

Term of Agreement:

This agreement shall commence on the date signed below and continue for a period of two (2) years unless terminated earlier in writing by either party.

Governing Law:

This agreement shall be governed by the laws of the State of California. Disputes shall be resolved within the jurisdiction of Los Angeles courts.

Additional Provisions:

• Both parties agree not to duplicate or reproduce Confidential Information without prior consent.
