Parties Involved:

Service Provider: TechSolutions Inc.

Client: Acme Corp.

Service Description:

Provider agrees to furnish the SaaS services as detailed in Exhibit A, including software access, maintenance, and support, subject to the terms herein.

Payment Terms:

Client shall pay a monthly fee of $2,000, payable in advance on the first day of each month. Additional charges may apply for exceeding usage limits or optional services.

Provider Responsibilities:

Provider shall ensure the SaaS platform is operational, secure, and performs in accordance with applicable service levels. Provider shall also provide technical support as outlined in Exhibit B.

Confidentiality & Data Security:

Both parties shall maintain the confidentiality of proprietary information and safeguard data in compliance with applicable privacy laws and industry standards.

Term & Termination:

This agreement shall commence on the Effective Date and continue for a period of 12 months, renewing automatically unless either party provides written notice 30 days prior to termination.

Governing Law and Jurisdiction:

This agreement shall be governed by the laws of the State of California. Disputes shall be resolved exclusively within the courts of Los Angeles County.

Additional Provisions:

  • Client shall be responsible for maintaining the security of its login credentials.
  • Provider does not warrant that the SaaS services will be error-free or uninterrupted.
  • Either party may amend this agreement with prior written consent from the other.
